Please Read These Terms Carefully

1. Agreement to Terms

By accessing or using the services provided by Best SEO Services in Canada by Digitech Mindz ("Company", "we", "our", "us"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our services.

2. Services Description

Best SEO Services in Canada by Digitech Mindz provides digital marketing services including but not limited to:

  • Search Engine Optimization (SEO)
  • Pay-Per-Click (PPC) Advertising
  • Social Media Marketing
  • Web Design and Development
  • Content Marketing
  • Brand Strategy and Consulting

The specific services to be provided will be outlined in a separate service agreement or proposal between you and the Company.

3. Client Responsibilities

As a client of Best SEO Services in Canada by Digitech Mindz, you agree to:

  • Provide accurate and complete information necessary for us to perform our services
  • Respond to our communications in a timely manner
  • Grant necessary access to your digital assets (websites, social media accounts, analytics, etc.)
  • Review and approve deliverables within agreed timeframes
  • Pay for services according to the agreed payment terms
  • Comply with all applicable laws and regulations

4. Payment Terms

4.1 Fees and Billing

Our fees are outlined in your service agreement. Unless otherwise specified:

  • Monthly retainer fees are due on the 1st of each month
  • Project-based fees require 50% upfront payment before work begins
  • Final payment is due upon project completion

4.2 Late Payments

Late payments may incur a late fee of 1.5% per month on the outstanding balance. We reserve the right to suspend services if payment is overdue by more than 15 days.

5. Intellectual Property

5.1 Client Materials

You retain ownership of all materials, content, and intellectual property you provide to us. You grant us a license to use these materials solely for the purpose of providing our services.

5.2 Deliverables

Upon full payment, you will own all deliverables created specifically for you, except for:

  • Pre-existing materials and tools owned by the Company
  • Third-party materials licensed to the Company
  • Generic frameworks, methodologies, and processes developed by the Company

6. Confidentiality

Both parties agree to keep confidential any proprietary or sensitive information shared during our engagement. This obligation survives the termination of our agreement.

7. Warranties and Disclaimers

7.1 Service Warranty

We warrant that our services will be performed in a professional and workmanlike manner consistent with industry standards.

7.2 No Guarantee of Results

While we strive to achieve the best possible results, we cannot and do not guarantee specific outcomes from our services. Digital marketing results depend on many factors beyond our control, including search engine algorithms, market conditions, and competitor actions.

7.3 Disclaimer

EXCEPT AS EXPRESSLY PROVIDED HEREIN, OUR SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BEST SEO SERVICES IN CANADA SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY.

Our total liability for any claim arising from our services shall not exceed the amount paid by you for the services in the three (3) months preceding the claim.

9. Termination

9.1 Termination by Client

You may terminate our services with 30 days written notice. You will be responsible for payment for all services rendered up to the termination date.

9.2 Termination by Company

We may terminate our services if you breach these Terms or fail to pay for services when due, after providing 14 days notice to cure the breach.

10. Indemnification

You agree to indemnify and hold harmless Best SEO Services in Canada by Digitech Mindz and its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your use of our services or your breach of these Terms.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Ontario, Canada. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts in Toronto, Ontario.

12. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of any material changes by posting the updated Terms on our website and updating the "Last Updated" date. Your continued use of our services after such changes constitutes acceptance of the modified Terms.
